Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Wandervert website, mobile application, Vertbox device, and all related services (collectively, the “Services”) operated by Wandervert, Inc. (“Wandervert,” “we,” “us,” or “our”). By creating an account, using our Services, or renting a Vertbox device, you agree to be bound by these Terms.
1. Eligibility
To use our Services, you must:
- Be at least 18 years of age
- Be a legal resident of the United States
- Possess a valid government-issued photo ID
- Hold a valid driver's license or moped/scooter permit as required by Georgia law
- Own or have legal permission to operate a compatible moped, scooter, or motorcycle
- Not be prohibited from using our Services under any applicable law
2. Account Registration
You must create an account to access rider features. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password confidential and not share it with any third party
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, incomplete, or fraudulent.
3. The Vertbox Rental
3.1 Rental Agreement
The Vertbox is provided to you on a weekly rental basis. You do not acquire any ownership interest in the Vertbox. The device remains the sole and exclusive property of Wandervert at all times.
3.2 Rental Fee
The rental fee is $35 per week, deducted automatically from your weekly earnings. If your weekly earnings are less than $35, Wandervert waives the difference for that week. You are never required to make an out-of-pocket rental payment.
3.3 Rental Period
There is no minimum rental period. You may return the Vertbox at any time by providing at least 1 week's written notice through the app or by emailing hello@wandervert.com.
3.4 Device Assignment
Each Vertbox is assigned to a specific rider and device serial number. You may not sell, loan, sublease, transfer, or otherwise allow any other person to use your assigned Vertbox.
4. Use of the Vertbox
4.1 Intended Use
The Vertbox is designed solely to display geo-targeted advertisements on your vehicle while you ride. You agree to use the Vertbox only as intended and in accordance with these Terms and the Rider Agreement.
4.2 Prohibited Uses
You may not:
- Modify, alter, disassemble, reverse-engineer, or tamper with the Vertbox hardware or software
- Attempt to circumvent the anti-theft lock or GPS tracking
- Cover, obscure, or deface the LED display while the device is powered on
- Remove the Vertbox from your assigned vehicle without authorization
- Use the Vertbox on any vehicle other than your registered vehicle
- Display any content other than what is served by Wandervert's advertising platform
- Interfere with the device's 4G connectivity or GPS signal
- Use the Vertbox in any manner that violates applicable law
4.3 Vehicle Requirements
You are responsible for ensuring your vehicle is:
- Legally registered and insured as required by Georgia law
- In safe operating condition
- Compatible with the Vertbox universal mount
5. Earnings
5.1 How Earnings Are Calculated
You earn money based on the number of verified ad impressions generated while the Vertbox is powered on and mounted on your registered vehicle. Earnings rates vary based on:
- Geographic zone (certain Atlanta neighborhoods have higher ad rates)
- Time of day and day of week
- Active riding (the device must be in motion; stationary display for extended periods may not qualify)
- Advertiser demand and campaign budgets
5.2 Earnings Are Estimates
Any earnings figures displayed on our website, app, or marketing materials are estimates based on historical data and are not guarantees of future income. Your actual earnings may be higher or lower.
5.3 Disbursement
Earnings are calculated weekly (Monday through Sunday) and disbursed on the following Monday to your designated payment method. You are responsible for any taxes owed on earnings. Wandervert does not withhold taxes. We will provide you with a 1099 form if your annual earnings meet the IRS reporting threshold.
5.4 No Guarantee of Earnings
Wandervert does not guarantee any minimum level of earnings. Earnings depend on factors outside our control, including your riding habits, routes, advertiser demand, and market conditions.
6. Advertising Content
6.1 Advertiser Content
Advertisements displayed on the Vertbox are provided by third-party advertisers. Wandervert does not endorse, guarantee, or assume responsibility for the accuracy, legality, or quality of any advertised product or service.
6.2 Ad Selection
You have no control over which advertisements are displayed on your Vertbox. Ads are selected automatically based on your geographic location and advertiser campaign parameters.
6.3 Content Guidelines
Wandervert maintains content guidelines for advertisers and reserves the right to reject any advertisement that is illegal, misleading, offensive, or otherwise inappropriate. However, we do not warrant that all displayed ads will meet your personal standards.
7. Intellectual Property
7.1 Our Intellectual Property
The Wandervert name, logo, Vertbox name, website, app, device firmware, and all related technology are the intellectual property of Wandervert. You may not use our trademarks, service marks, or branding without our prior written consent.
7.2 Your Content
You retain ownership of any content you submit to us (such as photos and vehicle information). By submitting content, you grant Wandervert a non-exclusive, royalty-free, worldwide license to use that content for the purpose of providing and improving the Services.
8. Device Return
8.1 Return Process
To return your Vertbox, provide at least 1 week's written notice. We will provide you with a prepaid shipping label, and you must return the device via that label.
8.2 Condition of Return
The Vertbox must be returned in reasonable working condition, accounting for normal wear and tear. You are responsible for any damage beyond normal wear and tear, including but not limited to:
- Cracked or shattered LED panel
- Broken mounting hardware
- Water damage beyond the device's IP65 rating
- Evidence of intentional tampering or modification
- Loss or theft of the device
8.3 Damage or Loss Charges
If the Vertbox is returned damaged beyond normal wear and tear, is lost, or is stolen and not recovered, you may be charged a replacement fee of up to $250. This fee is at Wandervert's sole discretion based on the extent of damage. The damage insurance included in your rental does not cover intentional damage, theft due to negligence (e.g., leaving the device unsecured), or loss not reported within 24 hours.
9. Limitation of Liability
9.1 Disclaimer of Warranties
THE SERVICES AND Vertbox DEVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WANDERVERT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY.
9.3 Maximum Liability
IN NO EVENT SHALL WANDERVERT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF THESE TERMS EXCEED THE TOTAL FEES PAID BY YOU TO WANDERVERT IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $500, WHICHEVER IS GREATER.
9.4 Assumption of Risk
You acknowledge that riding a moped, scooter, or motorcycle carries inherent risks. Wandervert is not responsible for any accidents, injuries, or damages that occur while you are riding with a Vertbox mounted on your vehicle. You assume all risks associated with operating your vehicle.
10. Indemnification
You agree to indemnify, defend, and hold harmless Wandervert, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use or misuse of the Vertbox or Services
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any accident, injury, or damage caused by or related to your operation of your vehicle with the Vertbox
- Any content you submit in connection with the Services
- Any claims by third parties related to your use of the Services
11. Termination
11.1 By You
You may stop using the Services and return the Vertbox at any time by providing 1 week's written notice.
11.2 By Wandervert
We may suspend or terminate your access to the Services at any time, with or without cause, including but not limited to:
- Violation of these Terms
- Fraudulent activity or misrepresentation
- Unsafe riding behavior reported to us
- Failure to return a Vertbox upon request
- Extended period of inactivity (no ad impressions for 30 consecutive days)
11.3 Effect of Termination
Upon termination, you must immediately return the Vertbox. Any unpaid damage fees become due. You are not entitled to any earnings accrued after the date of termination. Provisions of these Terms that by their nature should survive termination will remain in effect.
12. Dispute Resolution
12.1 Informal Resolution
Before filing any formal dispute, you agree to contact us at hello@wandervert.com and attempt to resolve the issue informally. We will attempt to respond within 30 days.
12.2 Binding Arbitration
Any dispute that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration will be conducted in Atlanta, Georgia, or at another mutually agreed location. You may participate in the arbitration by phone or video conference.
12.3 Class Action Waiver
YOU AND WANDERVERT AGREE THAT ANY DISPUTE SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION.
12.4 Governing Law
These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles.
13. General Provisions
13.1 Entire Agreement
These Terms, together with the Privacy Policy and Rider Agreement, constitute the entire agreement between you and Wandervert regarding the Services.
13.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
13.3 Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
13.4 Assignment
You may not assign these Terms. Wandervert may assign these Terms without your consent.
13.5 Changes to Terms
We may update these Terms at any time. We will notify you of material changes by email or in-app notification at least 30 days before they take effect. Continued use of the Services after changes take effect constitutes acceptance.
