Rider Agreement

This Rider Agreement (“Agreement”) is a binding agreement between you (“Rider”) and Wandervert, Inc. (“Wandervert”) and applies specifically to your rental and use of the Vertbox advertising device. This Agreement supplements and forms part of the Terms of Service. By receiving and activating a Vertbox, you acknowledge that you have read, understand, and agree to this Agreement.

1. Rider Responsibilities

1.1 Safe Operation

You are solely responsible for the safe operation of your vehicle at all times. The Vertbox must be mounted securely before riding and must not obstruct your visibility, vehicle lights, license plate, or any safety equipment. You must comply with all Georgia traffic laws and local ordinances.

1.2 Device Care

You agree to:

  • Keep the Vertbox clean and free of debris that could obstruct the display
  • Protect the device from intentional damage, extreme impact, or submersion beyond its IP65 rating
  • Store the device in a reasonably secure location when not mounted on your vehicle
  • Not leave the Vertbox unattended on your vehicle in unsecured locations for extended periods
  • Report any device malfunction, damage, or suspected theft to Wandervert within 24 hours

1.3 Power Management

You are responsible for keeping the Vertbox charged. The device must be powered on and functioning during your rides to generate ad impressions and earnings. A depleted battery does not excuse non-performance under this Agreement.

1.4 Mounting Compliance

The Vertbox must be mounted:

  • Using only the provided Wandervert mounting hardware
  • In the rear-facing position as instructed during onboarding
  • Securely to the designated mounting point on your registered vehicle
  • Without modification to the device or your vehicle

2. Geographic Service Area

2.1 Current Service Area

The Vertbox service is currently available within the Atlanta metropolitan area, including areas inside the perimeter (ITP) and selected areas outside the perimeter (OTP). The current service area includes but is not limited to: Buckhead, Midtown, Downtown, Decatur, Old Fourth Ward, Virginia-Highland, West End, Inman Park, Grant Park, Cabbagetown, Reynoldstown, East Atlanta, West Midtown, Home Park, Atlantic Station, Poncey-Highland, Sylvan Hills, Summerhill, Castleberry Hill, Adair Park, Mechanicsville, Peoplestown, Pittsburgh, Boulevard Heights, Kirkwood, East Lake, Edgewood, Candler Park, Lake Claire, Druid Hills, Morningside, Lenox, Brookhaven, Sandy Springs, Marietta, and Alpharetta.

2.2 Service Area Limitations

Ad impressions and earnings are only generated within the designated service area. Riding outside the service area will not generate earnings. Wandervert may expand or modify the service area at any time without notice.

2.3 Earnings Zone Variability

Earnings rates vary by geographic zone within the service area. Zones with higher foot traffic and advertiser demand (such as Buckhead and Midtown) generally yield higher per-impression rates than lower-density areas. Wandervert does not guarantee any specific rate for any zone.

3. Active Riding Requirements

3.1 Riding Verification

To qualify for ad impression earnings, the following conditions must be met:

  • The Vertbox must be powered on and displaying advertisements
  • The device must be mounted on your registered vehicle
  • The vehicle must be in motion (not stationary for extended periods)
  • The device must be within the designated service area
  • The GPS signal must be active and transmitting

3.2 Minimum Activity

While there is no minimum hourly requirement, Vertbox devices that generate zero ad impressions for 30 consecutive days may be subject to account review and potential deactivation. Wandervert will attempt to contact you before any deactivation.

3.3 Prohibited Earning Manipulation

You may not attempt to artificially inflate ad impressions by:

  • Mounting the Vertbox on a stationary object (e.g., a fence, window, or parked vehicle not in use)
  • Simulating GPS movement
  • Riding in circles or patterns designed solely to generate impressions
  • Using multiple devices on a single vehicle
  • Any other method that does not represent genuine riding activity

Engaging in any of the above constitutes fraud and will result in immediate termination and potential legal action.

4. Damage, Loss, and Theft

4.1 Included Insurance

Your weekly rental fee includes basic damage and theft insurance subject to the terms and conditions below.

4.2 Covered Incidents

The insurance covers accidental damage to the Vertbox that occurs during normal riding activity, including:

  • Damage from vehicle accidents or falls
  • Damage from road debris or weather conditions within the device's rated specifications
  • Theft of the device when reasonable security measures were taken

4.3 Not Covered

The insurance does NOT cover:

  • Intentional damage, vandalism, or destruction
  • Theft resulting from negligence, such as leaving the device unsecured or unattended in a high-risk location
  • Damage from unauthorized modification or tampering
  • Damage from use outside the device's rated specifications (e.g., submersion beyond IP65)
  • Loss not reported within 24 hours of discovery
  • Damage to the mounting hardware caused by improper installation
  • Cosmetic scratches and minor scuffs that do not affect device functionality

4.4 Reporting Requirements

You must report any damage, loss, or theft within 24 hours by:

For theft, you must also file a police report with the appropriate local law enforcement agency and provide Wandervert with the police report number.

4.5 Replacement Fee

If a claim is approved, Wandervert will provide a replacement Vertbox within 24 hours at no cost. If a claim is denied due to circumstances not covered under Section 4.3, you may be charged a replacement fee of up to $250.

4.6 Security Deposit

Wandervert reserves the right to require a refundable security deposit of up to $100 for riders with a history of device damage, late returns, or other account issues. The deposit will be returned within 30 days of the Vertbox being returned in acceptable condition.

5. Earnings and Payments

5.1 Earnings Calculation

Earnings are calculated based on verified ad impressions. An impression is counted when an advertisement is displayed on your Vertbox while the device meets all conditions outlined in Section 3.1. Wandervert uses its proprietary verification system to validate impressions and prevent fraud.

5.2 Earnings Transparency

You can view your real-time and historical earnings through the Wandervert rider dashboard. Earnings data includes:

  • Daily and weekly totals
  • Impression counts
  • Per-zone earnings breakdown
  • Rental fee deductions
  • Net payout amount

5.3 Payment Schedule

  • Earnings period: Monday 12:00 AM ET through Sunday 11:59 PM ET
  • Processing: Earnings are calculated and reviewed on Mondays
  • Disbursement: Payments are sent to your designated payment method on Mondays
  • Arrival: Funds typically arrive within 1-3 business days depending on your payment provider

5.4 Payment Methods

Available payment methods include:

  • Direct deposit to a US bank account
  • Cash App
  • Select cryptocurrency wallets (Bitcoin, Ethereum)

You may change your designated payment method through the app at any time. Changes made after Sunday 11:59 PM ET will apply to the following week's disbursement.

5.5 Tax Obligations

You are solely responsible for all federal, state, and local taxes on your earnings. Wandervert does not withhold taxes. If your annual earnings meet the IRS threshold, Wandervert will provide you with a Form 1099-NEC by January 31 of the following year. We recommend consulting a tax professional regarding your obligations.

5.6 Disputes

If you believe your earnings were calculated incorrectly, you may submit a dispute through the app within 14 days of the disbursement date. Wandervert will review the dispute and respond within 10 business days. Wandervert's determination is final.

6. Advertising on Your Vehicle

6.1 Understanding What's Displayed

By using the Vertbox, you acknowledge and accept that:

  • Third-party advertisements will be displayed on your vehicle
  • You have no control over which specific ads are shown
  • Ads may promote products, services, events, or causes that you do not personally use or support
  • Ad content is reviewed by Wandervert but is the responsibility of the advertiser
  • Members of the public may associate your vehicle with the displayed advertisements

6.2 Content Restrictions

Wandervert does not display advertisements for:

  • Illegal products or services
  • Tobacco or vaping products
  • Adult content
  • Political campaigns or political action committees
  • Firearms or weapons
  • Content that is defamatory, discriminatory, or hateful
  • Misleading or deceptive claims

If you see an ad that you believe violates these guidelines, report it through the app.

6.3 No Endorsement

Display of an advertisement on your Vertbox does not constitute your personal endorsement of the advertised product or service. Wandervert makes clear to advertisers and the public that Vertbox displays are paid advertisements, not rider endorsements.

7. Vehicle and Rider Safety

7.1 No Distraction

The Vertbox is designed to operate autonomously and does not require any interaction while riding. You must not attempt to operate, adjust, or interact with the Vertbox while your vehicle is in motion.

7.2 Weight and Aerodynamics

The Vertbox weighs 680g (approximately 1.5 lbs). Wandervert has tested the device for safety and compatibility with common moped and motorcycle types. However, you are responsible for ensuring the device does not adversely affect your vehicle's stability, handling, or braking. If you experience any handling issues, discontinue use immediately and contact Wandervert.

7.3 Night Riding

The Vertbox display is rear-facing and is designed not to distract the rider or oncoming traffic. However, if you believe the display is causing visibility issues for you or other drivers at night, you may power off the device. Note that powered-off periods do not generate earnings.

7.4 Helmet and Safety Gear

Wandervert strongly encourages all riders to wear a DOT-approved helmet and appropriate safety gear at all times, in compliance with Georgia law. Nothing in this Agreement relieves you of your obligation to ride safely and legally.

8. Inspections and Audits

8.1 Device Inspections

Wandervert reserves the right to request an inspection of your Vertbox at any time. Inspections may be conducted:

  • Through the device's remote diagnostic capabilities
  • Via photo or video submitted by you

8.2 Riding Verification

Wandervert may verify that the Vertbox is being used in accordance with this Agreement through GPS data analysis, riding pattern analysis, and other methods. If Wandervert determines that the device is not being used in accordance with this Agreement, we may suspend earnings, require device return, or terminate your account.

9. Communications

9.1 Transactional Communications

You agree to receive transactional communications from Wandervert, including:

  • Weekly earnings summaries
  • Device status alerts (low battery, connectivity issues, etc.)
  • Security alerts (tampering detection, unauthorized removal)
  • Account and payment notifications
  • Service updates and maintenance notices

These communications cannot be opted out of, as they are necessary for the functioning of the Services.

9.2 Marketing Communications

With your consent, Wandervert may send you marketing communications about new features, promotions, or partner offers. You may opt out of marketing communications at any time through the app or by clicking “unsubscribe” in any marketing email.

10. Termination of Rider Status

10.1 Voluntary Return

You may return the Vertbox and terminate your rider status at any time by providing at least 1 week's written notice. We will provide you with a prepaid shipping label, and you must return the device via that label in reasonable condition.

10.2 Involuntary Termination

Wandervert may terminate your rider status and require immediate return of the Vertbox for any of the following reasons:

  • Violation of this Agreement or the Terms of Service
  • Fraudulent earning manipulation (Section 3.3)
  • Failure to report device damage, loss, or theft within 24 hours
  • Unsafe riding behavior that Wandervert determines creates liability risk
  • Providing false information during registration or verification
  • Conviction of a crime that Wandervert reasonably determines is relevant to rider safety
  • Failure to return the device upon demand after termination

10.3 Consequences of Termination

Upon termination:

  • All earnings cease immediately
  • You must return the Vertbox within 3 business days via the prepaid shipping label we provide
  • Any applicable damage or replacement fees become due
  • Your account is deactivated and you may not create a new account without Wandervert's written consent

11. Acknowledgments

By activating and using the Vertbox, you acknowledge that:

  • You have read and understood this Rider Agreement, the Terms of Service, and the Privacy Policy
  • You understand that the Vertbox displays third-party advertisements on your vehicle
  • You understand that earnings are not guaranteed and depend on multiple factors
  • You understand that GPS location data is collected continuously while the device is powered on
  • You understand that you are responsible for the safe operation of your vehicle
  • You understand that the Vertbox remains the property of Wandervert
  • You are at least 18 years of age and legally permitted to enter into this Agreement
  • You are entering into this Agreement of your own free will
